These Terms of Use govern your access to and use of the HeroMi website, web application, mobile applications, and related services operated by Nastvix Inc., a Delaware corporation (“HeroMi,” “Nastvix,” “we,” “us,” or “our”) (collectively, the “Service”).
By creating an account, selecting a button or other mechanism indicating acceptance, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use HeroMi.
HeroMi accounts and interactive features are intended for parents and legal guardians, not for children. By creating a child profile or providing information about a child, you confirm that:
you are the child’s parent or legal guardian;
you have the authority to provide information about the child;
all information is provided by you as an adult; and
you will not permit a child to independently operate the account, create an account, or submit personal information through the Service.
A child may view HeroMi content or participate in parent-led practices and activities under your supervision.
2. The HeroMi Service
HeroMi is a digital parenting-support and family-wellness service designed to help parents understand and respond to everyday emotional, behavioral, and developmental situations involving their children.
The Service may include:
curated parenting practices prepared or reviewed with input from child psychology professionals;
recommendations selected according to the child’s age and information provided by the parent;
automated personalized responses generated using factors such as previously reported behavior, completed practices, parent-recorded moods, reported triggers, and skill-development information; and
educational materials and tools intended to support emotional learning within families.
We may add, modify, test, suspend, or discontinue features, subject to applicable law. We will not intentionally remove the core functionality of a paid subscription during an active billing period without providing a reasonable alternative, credit, refund, or other appropriate remedy where required by law or reasonably appropriate under the circumstances.
3. No Medical or Professional Services
HeroMi provides educational and informational parenting support. It does not provide medical care, mental-health treatment, psychotherapy, diagnosis, clinical assessment, or professional counseling.
Use of HeroMi does not create a doctor-patient, therapist-client, psychologist-client, or other professional relationship between you and Nastvix Inc., any person involved in preparing HeroMi content, or any service provider.
HeroMi is not a substitute for advice, diagnosis, or treatment from a qualified healthcare, mental-health, educational, or child-development professional. You are responsible for deciding whether a recommendation is appropriate for your child and circumstances.
The Service is not intended for emergencies or situations involving immediate danger. In such situations, contact appropriate local emergency services or a qualified professional.
4. Personalized and Automated Responses
HeroMi may use automated systems to select or generate responses based on information you provide.
Personalized responses may not account for every relevant circumstance and may occasionally be incomplete, inaccurate, or unsuitable for a particular child or situation. They should be treated as general guidance rather than professional judgment or guaranteed instructions.
You remain responsible for:
reviewing each recommendation;
using your own judgment;
considering your child’s individual needs;
seeking professional assistance when appropriate; and
deciding whether and how to apply any HeroMi content.
HeroMi does not guarantee any particular developmental, emotional, behavioral, educational, or family outcome.
5. Account Registration and Security
You agree to provide accurate and current account information and to update it when necessary.
You are responsible for:
maintaining the confidentiality of your login credentials;
all activity performed through your account;
preventing unauthorized access to your account; and
promptly notifying us if you believe your account has been accessed or used without authorization.
You may not create an account using false information, impersonate another person, share an account with unauthorized users, or access another user’s account.
We may require you to verify your identity or account information when reasonably necessary to protect the Service or its users.
6. Privacy and Child Information
Our collection and use of personal information are described in our Privacy Policy, Child Privacy Notice, Consumer Health Data Privacy Policy, where applicable, and Cookie Notice. Please review those notices carefully.
Those privacy notices describe our information practices and are not incorporated into these Terms as contractual promises, except to the extent applicable law provides otherwise.
7. Subscriptions, Payments, Cancellations, and Refunds
Paid access, free trials, recurring charges, automatic renewal, subscription management, and related billing matters are governed by our Subscription Terms.
Cancellations and refund requests are governed by our Refund & Cancellation Policy.
The Subscription Terms and Refund & Cancellation Policy are incorporated into these Terms by reference.
8. Electronic Communications
By creating an account or using the Service, you consent, to the extent permitted by applicable law, to receive agreements, disclosures, notices, receipts, subscription communications, and other records from us electronically, including by email, through the Service, or through your account.
You agree that electronic communications satisfy any legal requirement that such communications be provided in writing, except where applicable law requires a different form of delivery or additional consent.
You are responsible for keeping your email address current and for reviewing communications sent to your email address or account.
You may contact us to withdraw consent to receive records electronically where applicable law permits withdrawal. Withdrawal does not affect the validity of electronic records previously provided and may limit our ability to provide the Service if electronic delivery is necessary for account administration.
9. Limited License
Subject to your compliance with these Terms, Nastvix Inc. grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use HeroMi for your own non-commercial family purposes.
This license does not transfer ownership of HeroMi or any of its content to you.
10. Acceptable Use
You may not:
use HeroMi for commercial, professional, clinical, therapeutic, or institutional purposes without our written permission;
copy, reproduce, republish, distribute, sell, license, publicly display, or create derivative works from HeroMi content;
use HeroMi content to create, improve, benchmark, or train another product, service, database, algorithm, or artificial-intelligence model;
use automated systems, bots, crawlers, scrapers, or data-extraction tools to access or collect HeroMi content or data;
reverse engineer, decompile, disassemble, decode, or attempt to discover the source code, models, algorithms, prompts, rules, or technical structure of the Service;
bypass authentication, access controls, subscription restrictions, security protections, or usage limits;
interfere with the operation, security, performance, or availability of the Service;
introduce viruses, malicious code, or other harmful technology;
access the Service for the purpose of developing or supporting a competing product;
use the Service in a fraudulent, deceptive, unlawful, abusive, or harmful manner;
violate another person’s privacy, intellectual-property, or other legal rights; or
use HeroMi in violation of applicable United States sanctions, export-control laws, or other legal restrictions.
We may investigate suspected violations and take reasonable action to protect HeroMi, our users, and third parties.
11. Intellectual Property
HeroMi and all related materials are owned by Nastvix Inc. or its licensors and are protected by applicable intellectual-property laws.
Protected materials include:
software and source code;
designs and interfaces;
branding, logos, and trademarks;
practices and recommendations;
written content;
graphics and illustrations;
databases and content structure;
personalization systems;
automated-response systems;
selection methods; and
underlying technology.
Except for the limited license expressly granted in these Terms, no right, title, or interest in HeroMi is transferred to you.
You may not use the HeroMi name, logos, branding, or other trademarks without prior written authorization from Nastvix Inc.
12. Equitable Relief
You acknowledge that unauthorized use of the Service, misuse of our intellectual property, or interference with the security or operation of HeroMi may cause harm that cannot be adequately remedied by monetary damages alone.
Nastvix Inc. may seek injunctive or other equitable relief, in addition to any other remedies available at law or in equity, without limiting any defenses or rights available to you under applicable law.
13. Feedback
You may voluntarily provide feedback, suggestions, ideas, or comments about HeroMi.
By submitting feedback, you grant Nastvix Inc. a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, reproduce, modify, develop, publish, and otherwise use that feedback for any lawful purpose without compensation or obligation to you.
This section does not transfer ownership of your personal information and does not change our obligations under applicable privacy law.
Nothing in these Terms prevents you from sharing an honest review or opinion about HeroMi.
14. Third-Party Services
HeroMi may use or connect with third-party services, including authentication providers, payment processors, application stores, hosting services, and external links.
Your use of a third-party service may be governed by that provider’s own terms and policies. We do not control and are not responsible for the availability, security, content, or independent practices of third-party services.
If you obtain a HeroMi application through a third-party application store, the applicable store terms may also apply.
15. Service Availability and Updates
We may provide updates, corrections, improvements, or new versions of HeroMi.
We do not guarantee that:
the Service will always be available;
access will be uninterrupted or error-free;
every feature will remain available;
the Service will be compatible with every device or browser; or
all errors will be corrected immediately.
Maintenance, security events, technical issues, third-party failures, or circumstances outside our reasonable control may temporarily affect availability.
You are responsible for maintaining the devices, software, internet access, and other equipment necessary to use HeroMi.
16. Suspension and Termination
You may stop using HeroMi at any time and may request account deletion through available account settings or by contacting us.
We may suspend, restrict, or terminate your access if we reasonably believe that:
you violated these Terms;
information associated with your account is materially false;
your account has been compromised;
your activity creates a legal, security, fraud, or operational risk;
you attempted unauthorized access or misuse;
payment obligations remain unresolved; or
suspension or termination is required by law or a third-party provider.
Where reasonably practicable, we will provide notice before terminating an account unless immediate action is necessary to protect users, the Service, or third parties.
Termination does not affect provisions that by their nature should survive, including intellectual-property rights, feedback rights, disclaimers, limitations of liability, indemnification, governing law, equitable remedies, and payment obligations already incurred.
17. Disclaimer of Warranties
To the maximum extent permitted by law, HeroMi is provided on an “as is” and “as available” basis.
Nastvix Inc. disclaims all express and implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.
We do not warrant that HeroMi recommendations will be appropriate for every family, child, circumstance, or objective.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by law, Nastvix Inc. and its directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunities, or anticipated benefits arising from or related to HeroMi.
To the maximum extent permitted by law, the total aggregate liability of Nastvix Inc. arising from or relating to the Service or these Terms will not exceed the greater of:
the total amount you paid to Nastvix Inc. for HeroMi during the 12 months preceding the event giving rise to the claim; or
100 United States dollars.
These limitations apply regardless of the legal theory asserted and even if we were advised that such damages were possible.
The limitations do not apply to liability that cannot legally be limited or excluded.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Nastvix Inc. and its directors, officers, employees, contractors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable expenses arising from:
your unlawful or unauthorized use of HeroMi;
your material violation of these Terms; or
your infringement of another person’s rights.
This obligation does not apply to the extent a claim was caused by the negligence, willful misconduct, or legal violation of Nastvix Inc.
20. Force Majeure
Nastvix Inc. will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including internet or telecommunications failures, cloud-provider outages, cyberattacks, natural disasters, governmental actions, labor disruptions, epidemics, war, civil unrest, or failures of third-party service providers.
This section does not eliminate any refund, credit, or other remedy required by applicable law or expressly provided under the Refund & Cancellation Policy.
21. Geographic Availability
HeroMi is intended primarily for users in the United States.
We do not prohibit access from other locations, but we do not represent that the Service is appropriate, lawful, or available in every country or territory. If you access HeroMi from outside the United States, you are responsible for complying with applicable local laws.
We may restrict access in locations where providing the Service would violate applicable law, sanctions, export controls, third-party requirements, or operational limitations.
22. Governing Law and Courts
These Terms and any dispute arising from or relating to HeroMi are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
You and Nastvix Inc. agree that disputes will be brought exclusively in the state courts located in Delaware or the United States District Court for the District of Delaware, and each party consents to the personal jurisdiction and venue of those courts.
This section does not deprive you of mandatory consumer protections that apply under law and cannot be waived by agreement.
23. Changes to These Terms
We may update these Terms to reflect changes to HeroMi, our practices, legal requirements, or operational needs.
For material changes that adversely affect your rights or obligations, we will provide reasonable advance notice through the Service, by email, or by another appropriate method and, where appropriate or required by law, request your affirmative acceptance before the changes take effect.
Changes will not apply retroactively unless required by law or expressly agreed by you.
For non-material changes, continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
If you do not agree to an updated version, you must stop using the Service and may cancel your account or subscription in accordance with the applicable policies.
The current version and its effective date will remain available through HeroMi.
24. General Provisions
24.1 Entire Agreement
These Terms, together with the Subscription Terms, Refund & Cancellation Policy, and any other terms expressly accepted by you, constitute the entire agreement between you and Nastvix Inc. concerning your use of HeroMi.
24.2 Order of Precedence
If these Terms conflict with the Subscription Terms regarding a subscription, free trial, payment, recurring charge, or automatic renewal, the Subscription Terms will control.
If the Refund & Cancellation Policy conflicts with these Terms regarding a cancellation or refund, the Refund & Cancellation Policy will control.
Applicable app-store terms will control only to the extent required by the relevant app store.
24.3 Severability
If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
24.4 No Waiver
Our failure to enforce any provision is not a waiver of that provision or our right to enforce it later.
24.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent.
We may assign these Terms as part of a merger, acquisition, corporate reorganization, asset transfer, financing, or similar transaction.
24.6 No Third-Party Beneficiaries
Except as expressly provided in applicable app-store terms, these Terms do not create rights or remedies for any third party.
24.7 Language
These Terms are written in English. Any translation is provided for convenience only.
To the extent permitted by applicable law, the English-language version will control if there is a conflict between versions.
24.8 Headings
Headings are included for convenience and do not affect interpretation.
